1. About Holdkey
Holdkey Ltd ("Holdkey", "we", "us") operates a UK property transaction platform at holdkey.co.uk. We digitise the home-buying and selling process — from mortgage agreement to exchange of contracts — with built-in escrow, document management, step tracking, and a vetted professional network.
By creating an account or using the platform, you agree to these Terms of Service. If you do not agree, do not use the platform.
2. Eligibility
- You must be 18 years of age or older
- You must be resident in, or acting in connection with a property transaction in, England or Wales
- You must provide accurate and truthful information when registering
- You must not have been previously suspended or removed from the platform
3. User Roles
When you register you select one of the following roles, which determines your access and responsibilities on the platform:
- Buyer — browse listings, submit offers, upload documents, pay escrow, confirm at Step 5
- Seller — list properties, receive and counter offers, confirm at Step 5
- Solicitor — manage conveyancing (Step 4), upload legal documents, confirm at Step 5
- Surveyor — manage valuation and survey (Step 3), upload reports, confirm at Step 5
- Mortgage Advisor — manage mortgage approval (Step 1), upload approval documents, confirm at Step 5
- Estate Agent — list properties on behalf of sellers, manage offers (Step 2 only). Estate agents exit the transaction at Step 2 and have no access to Steps 3–5 or escrow data
4. Fees
- Buyers pay zero commission. There is no fee for buyers at any point in the transaction.
- Sellers pay a 2% commission of the final sale price, deducted from the escrow release at Step 5 completion. No upfront payment is required from sellers.
- Professional fees (solicitors, surveyors, mortgage advisors) are agreed directly between you and the professional and are outside Holdkey's platform fee.
5. Listings
- All property listings must be accurate, complete, and not misleading
- You must have legal authority to sell or list the property
- Holdkey reserves the right to remove any listing that violates these terms or applicable law
- Upon acceptance of an offer, the listing status automatically changes to "Under Offer" and is removed from public search
6. Offers and Negotiation
- Buyers may submit offers on active listings and engage in counter-offer negotiations with sellers
- Multiple buyers may hold competing offer threads on a single listing simultaneously
- When a seller accepts one offer, all other offer threads on that listing are automatically rejected
- Acceptance of an offer on one listing does not automatically withdraw a buyer's offers on other listings; buyers are responsible for withdrawing these manually
- An accepted offer constitutes agreement to proceed to transaction — it does not constitute a legally binding contract until exchange of contracts at Step 5
7. Escrow
- Holdkey operates an FCA-authorised escrow account
- The buyer pays the full purchase price into escrow at Step 5 (Exchange and Completion)
- Funds are held in escrow until all five core parties (Buyer, Seller, Solicitor, Surveyor, Mortgage Advisor) have digitally confirmed their Step 5 checklist
- Upon all confirmations, Holdkey releases: purchase price minus 2% commission → seller's bank account
- Escrow funds will never be released before Step 5, regardless of early confirmation by any party
- In the event of a transaction cancellation, escrow funds are returned to the buyer less any applicable cancellation fees, subject to the circumstances of the cancellation
8. The 5-Step Transaction Process
All transactions on Holdkey follow a structured 5-step workflow:
- Step 1 — Mortgage / Finances Agreed (Mortgage Advisor + Buyer)
- Step 2 — Listing & Offer Accepted (Buyer + Seller + Estate Agent)
- Step 3 — Valuation & Survey (Surveyor + Buyer)
- Step 4 — Conveyancing (Solicitor + Buyer + Seller)
- Step 5 — Exchange & Escrow Release (all five core parties confirm)
Steps must be completed in order. Holdkey staff may cancel a transaction if a step is materially incomplete or if fraudulent activity is detected.
9. Professional Network
- Professionals (solicitors, surveyors, mortgage advisors, estate agents) who register on Holdkey may have their profile — including name, firm, city, phone, and bio — displayed publicly in the buyer search directory
- Holdkey does not verify professional qualifications automatically. Coordinator-verified professionals are marked as "Verified" on the platform, but verification is not a guarantee of quality or suitability
- Holdkey is not a party to any agreement between a buyer/seller and a professional
10. Prohibited Conduct
You must not:
- Provide false, misleading, or fraudulent information
- Impersonate another person or entity
- Use the platform for money laundering or any other illegal activity
- Attempt to bypass escrow or circumvent the 5-step process
- Harass, threaten, or abuse other users
- Attempt to access accounts or data you are not authorised to access
- Use automated tools to scrape or extract data from the platform
Breach of this clause may result in immediate account suspension and referral to the relevant authorities.
11. Cancellation of Transactions
Only Holdkey Team Leaders and Super Admins may cancel an active transaction. Cancellation requires a recorded reason and admin note. Buyers and sellers may request cancellation by contacting support, but the decision rests with Holdkey.
12. Limitation of Liability
To the maximum extent permitted by law:
- Holdkey is not liable for any indirect, incidental, or consequential loss arising from use of the platform
- Holdkey is not liable for the acts or omissions of professionals found through our network
- Holdkey's total liability to you in connection with these terms shall not exceed the fees paid by you to Holdkey in the 12 months preceding the claim
- Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation
13. Intellectual Property
The Holdkey platform, brand, and content are owned by Holdkey Ltd. You may not reproduce, distribute, or create derivative works without our express written permission. You retain ownership of content you upload (property photos, documents) but grant Holdkey a licence to store and display it for the purpose of facilitating your transaction.
14. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
